EzGreen Combined Terms of Service, End User License Agreement (EULA) & Privacy Policy

PLEASE READ THESE TERMS OF SERVICE, END USER LICENSE AGREEMENT (EULA) AND PRIVACY POLICY (COLLECTIVELY, THE “AGREEMENT”) CAREFULLY BEFORE DOWNLOADING, INSTALLING OR USING EZGREEN (“THE APPLICATION”). THIS AGREEMENT IS A LEGAL CONTRACT BETWEEN YOU (“USER”, “YOU” OR “YOUR”) AND EZGREEN TECHNOLOGIES, INC. (“EZGREEN,” “WE,” “US,” OR “OUR”) REGARDING YOUR USE OF THE APPLICATION.

By installing, using or accessing the EzGreen application, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms and conditions, do not install, use or access the EzGreen application.

1. GRANT OF LICENSE

EzGreen grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Application on your personal device, subject to your compliance with this Agreement.

2. USER ACCOUNT AND USE OF APPLICATION

You may need to create a User Account to access and use the Application. You are solely responsible for maintaining the confidentiality of your User Account and for all activities that occur under it.

3. USER CONDUCT

You agree to use EzGreen in compliance with all applicable laws, regulations, and this Agreement. Only content related to sustainability, environmental protection, conservation, nature, and related topics is allowed on EzGreen. Content that promotes violence, discrimination, nudity, explicit or adult material, illegal activities, or any content that is deemed inappropriate by us will be removed.

4. USER CONTENT

You can post and share content, including but not limited to tips, events, news, and photographs (“User Content”). You keep all rights to any User Content you post but give EzGreen a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Application and EzGreen’s business.

5. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in EzGreen, including trademarks, logos, and content, are owned by or licensed to us. You agree not to reproduce, distribute, modify, or create derivative works based on EzGreen or its content without our prior written consent.

6. THIRD-PARTY CONTENT AND LINKS

EzGreen may contain links to third-party websites, services, or content that are not owned or controlled by us. We do not endorse, guarantee, or assume responsibility for the accuracy, availability, or legality of any third-party content or links.

7. DISCLAIMER OF WARRANTIES

EzGreen is provided on an “as is” and “as available” basis, without any warranties or representations, express or implied.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from your use or inability to use EzGreen.

9. INDEMNITY

You agree to defend, indemnify and hold harmless EzGreen, its parent corporation, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of your use and access of the Application, or a breach of this Agreement.

10. TERMINATION

a) We reserve the right to suspend or terminate your access to EzGreen at any time without prior notice or liability, for any reason, including but not limited to a violation of this Agreement.

b) Upon termination, your right to use EzGreen will immediately cease, and you must cease all use of the app and delete it from your device.

11. MODIFICATION OF TERMS

We reserve the right to modify this Agreement at any time by posting the revised Agreement on EzGreen or notifying you through other means. Your continued use of EzGreen after the effective date of the modified Agreement constitutes your acceptance of the changes.

12. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising out of or relating to this Agreement or your use of EzGreen shall be subject to the exclusive jurisdiction of the courts of Singapore.

13. SEVERABILITY

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

14. ENTIRE AGREEMENT

This Agreement, including any legal notices and disclaimers contained herein, constitute the entire agreement between EzGreen and you in relation to your use of this Application, and supersede all prior agreements and understandings with respect to the same.
